You agree to defend, indemnify and hold harmless Find Angel, ITS AFFILIATES AND EACH OF THEIR RESPECTIVE AUTHORS, EMPLOYEES, DIRECTORS, OFFICERS, CONSULTANTS, AGENTS, LICENSORS, WEB HOSTS OR INTERNET SERVICE PROVIDERS, CONTENTS PROVIDERS, OR OTHER PERSONS RELATED TO OR USED BY Find Angel (COLLECTIVELY, THE Find Angel ENTITIES) from any and all claims, liabilities, costs and expenses, including, without limitation, attorneys’ fees and other legal expenses, whether in tort, contract or otherwise, relating to or arising out of:

1. Any Content that you may post, transmit, read or use on or through the website or our Services (including, but not limited to, our AI chatbot and mental health support services);
2. Any breach by you of these Terms of Service or applicable law;
3. Your violation of any rights of Find Angel or a third party;
4. Any decisions, actions, or inactions you make based on information or advice received through our Services, including our AI chatbot and mental health support services;
5. Any emotional distress, worsening of mental health conditions, or other negative outcomes that you or others may experience as a result of your use of our Services;
6. Any misuse or unauthorized use of our AI chatbot or mental health support services, including but not limited to using these services for emergency situations or as a substitute for professional mental health care;
7. Any claims arising from your failure to seek professional medical or mental health care when necessary, despite any advice or information provided through our Services;
8. Any disputes or issues arising between you and other users of our Services, including any harm or damages resulting from such interactions;
9. Any breach of confidentiality or privacy that may occur through your use of our Services, including any information you choose to share with our AI chatbot or mental health support services;
10. Any claims related to the accuracy, completeness, or appropriateness of information or support provided through our AI chatbot or mental health support services;
11. Any relapse, recurrence, or exacerbation of pre-existing mental health conditions that may occur during or after the use of our Services;
12. Any misdiagnosis, delayed diagnosis, or failure to diagnose any mental health condition that you may attribute to information or advice received through our Services;
13. Any adverse reactions or side effects that you or others may experience as a result of following general advice or information provided through our Services;
14. Any financial losses or damages you or others may incur as a result of decisions made based on information or support received through our Services;

1. The AI chatbot and mental health support services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied.
2. Find Angel Inc. is not liable for any decisions you make based on interactions with our AI chatbot or mental health support services, including but not limited to decisions about seeking or not seeking professional care, modifying existing treatment plans, or any other health-related decisions.
3. We are not responsible for any emotional distress, worsening of mental health conditions, or any other negative outcomes that may occur as a result of using our services.
4. Find Angel Inc. does not guarantee the accuracy, completeness, or appropriateness of any information or support provided through our AI chatbot or mental health support services.
5. We are not liable for any delays in service, technical issues, or unavailability of our AI chatbot or mental health support services that may prevent you from accessing support when needed.
6. Find Angel Inc. is not responsible for any misunderstandings or miscommunications that may occur between users and our AI chatbot or mental health support services.
7. We are not liable for any breach of confidentiality or privacy that may occur through your use of our services, including any information you choose to share with our AI chatbot or mental health support services.
8. Find Angel Inc. is not liable for any damages or losses resulting from the termination or discontinuation of our services, whether temporary or permanent.
9. We are not responsible for any actions taken by third parties based on information or advice obtained through our services.
10. Find Angel Inc. is not liable for any failure to identify or report potential harm to self or others that may be disclosed during interactions with our services.
11. We are not responsible for any relapse, recurrence, or exacerbation of pre-existing mental health conditions that may occur during or after the use of our services.
12. Find Angel Inc. is not liable for any misdiagnosis, delayed diagnosis, or failure to diagnose any mental health condition, as our services are not designed to provide medical diagnoses.
13. We are not responsible for any adverse reactions or side effects that may result from following general advice or information provided through our services.
14. Find Angel Inc. is not liable for any financial losses or damages incurred as a result of decisions made based on information or support received through our services.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT FIND ANGEL INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF FIND ANGEL INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE USE OF OUR AI CHATBOT OR MENTAL HEALTH SUPPORT SERVICES.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN FIND ANGEL INC. AND YOU, AND THAT IN THE ABSENCE OF SUCH LIMITATIONS, THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT WOULD BE SUBSTANTIALLY DIFFERENT.

Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, YOU ARE NOT PERMITTED TO USE OUR SERVICES. BY USING OUR SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR JURISDICTION ALLOWS FOR THE EXCLUSIONS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS OF SERVICE.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN FIND ANGEL INC. AND YOU.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT FIND ANGEL INC. WOULD NOT BE ABLE TO PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS, AND THAT THESE LIMITATIONS CONSTITUTE AN ESSENTIAL PART OF OUR AGREEMENT.

Arbitration

Any dispute or claim arising or related to this Agreement, its performance, breach, or interpretation (including issues about its validity or enforceability), shall be exclusively (except as provided below) resolved by final binding arbitration before the American Arbitration Association (AAA), utilizing its Commercial Arbitration Rules. One arbitrator shall be selected using AAA procedures. The arbitrator shall use all reasonable efforts to minimize discovery and to complete the arbitration proceedings as expeditiously as possible. The Arbitrator shall render a written decision within thirty (30) calendar days of the hearing. The arbitrator will not award attorney’s fees, or punitive, incidental, consequential, treble or other multiple or exemplary damages, and the parties hereby agree to waive and not seek such damages. Either party may seek judicial relief to compel the other party to comply with the provisions of this Section, or injunctive or other equitable relief to protect its intellectual property rights, provided (unless prohibited by applicable law) that the remainder of the dispute or claim is submitted to arbitration. Awards shall be final, binding and non-appealable (except on the minimal grounds required under the Federal Arbitration Act or other applicable law). All awards may be filed with one or more courts, state, federal or foreign having jurisdiction over the party against whom such award is rendered or its property, as a basis of judgment and of the issuance of execution for its collection.

Governing Law and Jurisdiction

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

For any dispute arising under or relating to these Terms of Service, the Services, or your use of the Services:

1. Exclusive Jurisdiction: You agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, United States of America.
2. Venue: You waive any objection to venue in these courts and agree not to plead or claim in any such court that such action or proceeding has been brought in an inconvenient forum.
3. Choice of Law: You agree that all matters relating to your access to or use of the Services, including all disputes, will be governed by the laws of the United States and by the laws of the State of Delaware without regard to its conflicts of laws provisions.
4. No Class Actions: You agree to waive any right to pursue disputes on a class-wide basis; that is, to either join a claim with the claim of any other person or entity, or assert a claim in a representative capacity on behalf of anyone else in any lawsuit, arbitration or other proceeding.
5. Time Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
6. Injunctive Relief: Notwithstanding the foregoing, Find Angel Inc. shall have the right to seek injunctive or other equitable relief wherever it deems appropriate.
7. International Users: If you are accessing the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. If the laws of your jurisdiction prohibit the use of U.S.-based services or conflict with these Terms, you may not use our Services.

BY USING OUR SERVICES, YOU EXPRESSLY AGREE TO THE JURISDICTION, VENUE, AND CHOICE OF LAW PROVISIONS SET FORTH IN THIS SECTION.

Entire Agreement; Waiver; Modification; Amendment

The terms and provisions contained in this Agreement constitute the entire agreement between the parties concerning the subject matter hereof. This Agreement supersedes all other agreements, written or oral, between the parties as to the subject matter hereof. No modification or amendment of this Agreement shall be enforceable against a party unless in writing and signed by the party against whom such modification or amendment is sought to be enforced. No failure on the part of a party to exercise, no delay in exercising, and no course of dealing with respect to any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under this Agreement.

Successors and Assigns

Licensee may not assign this Agreement (including by operation of law) without the prior written consent of Licensor. Any such attempt to assign shall be null and void. The rights and obligations of the parties shall inure to the benefit of and shall be binding upon the parties, their respective successors, assigns, heirs, and personal representatives. Nothing in the Agreement is intended to or shall confer on any Person other than the parties hereto or their respective permitted successors or assigns, any rights or remedies under or by reason of this Agreement.

Captions

The captions and headings in this Agreement are inserted only as a matter of convenience, and in no way define, limit or in any other way described the scope of this Agreement or the intent of any provision hereof.

Severability

If any provision of these Terms of Service is held to be unlawful, void, invalid, or unenforceable for any reason by any court or arbitral tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it lawful, valid, and enforceable. If such modification is not possible, that provision shall be severed from these Terms of Service without affecting the legality, validity, and enforceability of any remaining provisions.

In the event of such severance or modification:

1. The parties agree that the court or arbitrator should endeavor to give effect to the parties’ intentions as reflected in the provision.
2. The invalidated provision shall be replaced by a valid, legal, and enforceable provision that most closely matches the intent of the original provision in light of these Terms of Service as a whole.
3. If any provision is found to be excessively broad as to duration, scope, activity, or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the maximum extent compatible with applicable law.
4. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms of Service, and these Terms of Service shall continue in full force and effect as if such invalid or unenforceable provision had never been contained herein.
5. If the severance of any provision materially alters the rights or obligations of the parties, Find Angel Inc. reserves the right to terminate or modify the Services in response to such severance, with or without notice to users.
6. The parties agree that any ambiguities in the construction or interpretation of these Terms of Service shall not be construed against the drafting party.

The parties acknowledge that they have required that these Terms of Service and all related documents be drawn up in English. In the event of any discrepancy between the English language version of these Terms of Service and any translation, the English language version shall prevail.

Survival

The terms of this Agreement apply to any, receipt, use or performance that occurs before any termination, cancellation, or rescission of this Agreement, and to those obligations that arise after any termination, cancellation, or rescission of this Agreement, namely: any terms, conditions or restrictions on receipt, use, or access to the Contents, systems, or networks of Find Angel, and any indemnification obligations.

Force Majeure

Find Angel Inc. will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (“Force Majeure Event”). Such causes include, but are not limited to:

1. Acts of God, natural disasters, or extreme weather conditions
2. War, terrorism, riots, civil unrest, or rebellion
3. Embargoes or blockades
4. Acts of civil or military authorities
5. Fire, floods, earthquakes, or other natural disasters
6. Strikes, labor stoppages, or slowdowns
7. Shortages of transportation facilities, fuel, energy, labor, or materials
8. Failures or fluctuations in electrical power or telecommunications service
9. Pandemic, epidemic, or quarantine restrictions
10. Changes in applicable law or regulations
11. Cyberattacks, hacking, or other malicious intrusions
12. Any other similar events or circumstances beyond our control

Our performance under these Terms will be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms may be performed despite the Force Majeure Event.

If a Force Majeure Event continues for an extended period, Find Angel Inc. reserves the right to modify, suspend, or terminate the Services, either temporarily or permanently, without prior notice. Users will be informed of any such changes through updates to these Terms of Service or through notices on our website.

Find Angel Inc. shall not be liable for any loss, damage, delay, or failure to provide Services resulting from a Force Majeure Event.

By continuing to use our Services during or after a Force Majeure Event, you agree to these Terms, including any modifications made in response to the Force Majeure Event.
